For Diversity Jurisdiction Purposes Just Like Any Other Limited Partnership
For diversity purposes, a limited
partnership is deemed a citizen of every state in which any of its partners,
whether general or limited, is a citizen. Louisiana does not, however, have a
business entity called a “limited partnership”; rather, it has a “partnership
in commendam. In a recent decision, it was confirmed that the same test applied
to limited partnerships would be applied to determine the citizenship of a
Louisiana partnership in commendam. Walters
