Except an LLC is Not
a Corporation
All too often, we see court
decisions that refer to an LLC as a “limited liability corporation” or
otherwise referred to an LLC as being a corporation. In a recent decision from
the Federal District Court for South Carolina, it was stated that:
GSH of Alabama, LLC (“GSH”) is an Alabama corporation that ….
GSH of Alabama, LLC v. South Star Financial,
LLC, Case 2:17-cd-02689, 2018 WL 1335189
(D. S.C. March 15, 2018).
Except it isn’t. Rather, an LLC
is a limited liability company, and is in no manner a corporation.
