New York Times Article Bashes Delaware as Corporate Haven

This is an interesting, and in my mind not entirely even-handed, article.  The function of the registered agent is not explained, and neither is the fact that the law does not even suggest that a company is located at/doing business from its registered office.  In addition, there is no consideration given to the immense transactional costs that would be imposed upon everyday businesses were the Levin proposal to be enacted.  Some of those issues I reviewed in Requiring Disclosure of Business Entity Ownership: Proposed New Laws are Burdensome, But With the Benefit of Being Ineffective, 13 J.
